TheMergers & Acquisitions Directoris responsible for leading cross-functional teams in the evaluation, design, negotiation, and implementation of M&A transactions. The role includes the execution of M&A transaction deliverables across all stages of a transaction. Additionally, the MA& Director will work with Dow businesses and other area stakeholders on developing and maintaining strategic M&A priorities.

Core Responsibilities

  • Structure the transaction process for identified M&A projects and lead the team through preparation, diligence, counterparty discussions and negotiations up to signing and closing a transaction.

  • Work with the key business leaders to identify those areas of their strategies where M&A is an appropriate tool and review M&A ideas before they are presented to senior management.

  • Ensure that Dow negotiating teams in M&A projects are effective in adding value by leading, participating in or advising those teams, depending on the size and location of each project.

  • Provide regular communication to Dow leadership and transaction stakeholders through all stages of an M&A transaction.

  • Communicate the M&A process to the Dow business and functional partners.

  • Be one of the focal points for M&A techniques and issues, including evaluation methods, negotiation, regulatory, financial, internal approvals, etc.

  • Build and maintain a network of external contacts in the M&A community. This includes relationships with investments banks for potential support with M&A transactions as well as having access to transaction ideas and market news.

  • Ability to influence and lead cross-functional and business teams towards a common goal. Enthusiasm for helping the team succeed and for coaching individual team members.

  • Ability and willingness to set priorities and take decisions. Comfort operating in an unstructured environment and based on incomplete information; flexibility to adjust priorities frequently, and maturity to remain calm and unemotional under stressful conditions.

  • Strong analytical skills and an ability to break down and simplify complex and unstructured information into M&A value drivers.

  • Continuous willingness to learn and develop.

  • Excellent written and verbal communication skills at all levels of the organization as well as with third parties; projecting confidence and trust in communications.

  • Negotiation skills to communicate and achieve Dow’s position in a transaction.

  • Effective interpersonal skills and the ability to build and maintain trusted relationships inside and outside the organization.

Qualifications

  • A minimum of a Bachelor's degree; MBA preferred

  • 10+ years experience in financial and/or business roles with a strong bias towards financial project management.

  • Deep understanding of corporate finance, accounting and tax issues as they relate to M&A, and a solid understanding of the chemical industry.

  • Strong written and verbal communication skills and the proven ability to influence others at all levels of the organization.

  • The ability to work legally in the country for which you are applying. No visa sponsorship/support is available for this position.
