Job Summary:

The Head of Contract Management role will manage a team of Contract Managers that manage Contracts with third-party vendors for a wide variety of services, including software license/ implementation/ maintenance, financial products and services, subscriptions, property maintenance/ construction, marketing, training, and consulting. The candidate will work closely with internal business resources and procurement stakeholders to ensure all third-party agreements meet MUFG’s legal and third-party management policies. The Head of Contract Management will partner with internal stakeholders including but not limited to, corporate legal, risk, compliance, information security, finance, sourcing, and business units to bring procurement resources, tools, methodologies and judgment to business units in a collaborative environment that values insight, creative thinking, group problem solving, intellectual curiosity and a growth mindset. The candidate will use processes to generate, manage and execute all third-party vendor agreements.

Major Responsibilities

Oversee the performance of administrative and review related tasks related to the management and research of third-party contractual documents:

  • Perform assigned tasks related to third-party engagement intake and review

  • Assist internal stakeholders with third-party contractual document research as needed to support company initiatives

  • Review, update, and engage, as required for remediation activities and projects

Lead the Contract Management team as they prepare and review all third-party agreements in accordance with internal requirements and standards:

  • Support the correspondence and the exchange of drafts to resolve issues in third-party contractual agreements directly with the relevant third-party in a cooperative and professional manner in order to resolve conflicts and reach final resolution within the required internal timeframes.

  • Work with internal stakeholders, including the legal department, and adhere to internal policies and procedures related to obtaining approvals for changes to the terms of third-party documents.

  • Mitigate third-party document risk by ensuring adherence to internal company policy and procedures.

  • Will cooperate and effectively communicate with various internal stakeholders to negotiate agreement on optimal Bank terms and in accordance with governance processes.

  • Produce third-party contractual documents that are consistent with company policies and business objectives, under the guidance of legal

  • Effectively and professionally communicate across the Procurement of Americas organization, business unit representatives, and MUFG’s third parties as needed

Lead the Contract Management team as they perform closeout on third-party contractual agreements by facilitating execution and preparing summaries in accordance with company policy:

  • Prepare final versions of third-party documents to route through the contract approval process.

  • Prepare and manage execution of and approvals for third-party documents

  • Facilitate signature of third-party documents through the company’s electronic signature program or otherwise

  • Prepare third-party document summaries

  • Store and manage third-party documents in procurement database and ensure that all relevant metadata within a contract is extracted, recorded, stored and accessible to internal stakeholders

Identify process improvement opportunities and work with the related stakeholders to make the Contract Management process more effective and efficient. The processes that should be addressed include, but are not limited to:

  • Core Term Mapping and Core Term approvals

  • Initial engagement and Kick-off call

  • Artificial Intelligence

  • Ariba data management

  • SOW reviews

Requirements

  • Bachelor's degree in Supply Chain Management or Procurement/Sourcing exposure; 12-15 years of related experience required

  • 3-5 years of leading and managing people

  • Understand and review contract language, Master Service Agreements, Professional Services Agreements, Non-disclosure agreements, and Third-Party Risk Assessments

  • Aptitude and experience in using and modeling Microsoft Office Suite of products (Excel, Access, PowerPoint) and Tableau

  • Must have excellent oral and written communication and organizational, planning, and interpersonal skills.

  • Excellent time management skills and the ability to work under time pressure and handle multiple tasks/projects at the same time

  • Problem resolution skills with strong analytical skills, sound judgment and ability to work effectively with clients and technical staff

  • Ability to work with all levels of management

Additional Qualifications

  • Must have working knowledge and experience developing solutions to access and display external data through SharePoint, Excel, Access and other tools.

  • Knowledge compiling flowcharts and using flowcharting software (e.g. Visio).

  • Detail oriented with the potential to work efficiently and independently with little supervision.

  • Experience with Financial Industry regulations and guidance

  • JD, Juris Doctor degree preferred

The typical base pay range for this role is between $165K - $210K depending on job-related knowledge, skills, experience and location. This role may also be eligible for certain discretionary performance-based bonus and/or incentive compensation.
